Abstract
Die Auslandsbeurkundung ist ein Klassiker des Gesellschaftsrechts. Der Beitrag beleuchtet ihre Voraussetzungen und Rechtsfolgen anhand der praxisrelevanten Konstellation der GmbH-Anteilsabtretung im Schweizer Kanton Basel/Stadt. Nach dem MoMiG war deren Zulässigkeit vermehrt in Zweifel gezogen worden. Der BGH weist die diesbezüglichen Bedenken in einer aktuellen Entscheidung nun zurück und bejaht die Substitutionsoffenheit des § 15 Abs. 3 GmbHG hinsichtlich der Beurkundung und des § 40 Abs. 2 GmbHG hinsichtlich der Befugnis zur Einreichung der neuen Gesellschafterliste.
Translation of abstract (English)
Membership interests of the German GmbH are transferable. However, pursuant to Section 15 of the German GmbH Act, a notarial form is required for the validity of the transfer. The following article deals with the question whether the parties to the transfer agreement can substitute the German notary by a foreign notary, especially by a notary in Switzerland. The German Federal Court in a recent decision admits the substitutability of the notarial form in Section 15 of the German GmbH Act.
